Undersigned agrees the Brokers entire commission is due and payable at the closing. The broker will instruct the Seller(s) or Sellers attorney to pay the commission and provide the Seller(s) a receipt for same simultaneously with the transfer of the assets, and or stock certificate; an is aware the non-compliance with the above will cause Broker damages for which the undersigned may be liable, and in the event such liability is determined by a court of competent jurisdiction then Broker shall be entitled to compensation plus reasonable attorneys fee.

Notwithstanding the provisions of any Offer to Purchase, Contract to Purchase, or a Purchase and Sales Agreement, Asset Purchase Agreement, subsequently entered into between the Seller(s)and any prospective Buyer(s) to the contrary should the Seller(s) retain the deposit made by the Buyer(s) under any one or more of the aforesaid agreements, the Broker shall be entitled to receive from the Seller(s) an amount equal to one half the amount so retained or an amount equal to the commission payable hereunder, whichever is less.
